Free$t. Terms of Service

1. Acceptance of These Terms

By creating a Free$t. account, downloading the Free$t. mobile application, or otherwise using the Free$t. service (the "Service"), you agree to these Terms of Service ("Terms"). If you do not agree, you may not use the Service.

These Terms form a binding legal agreement between you and Free$t., Inc. ("Free$t.," "we," "us," or "our").

2. Eligibility

  • You must be at least eighteen (18) years old, or the age of majority in your state of residence, whichever is greater.

  • You must be a legal resident of one of the fifty (50) United States, the District of Columbia, or Puerto Rico.

  • You may not be on any U.S. federal or state sanctions, denied parties, or restricted persons list.

  • Employees, officers, directors, and immediate family members of Free$t., Inc. and its participating retailers are not eligible to win prizes from those specific retailers.

3. Your Account

  • You may hold only one (1) Free$t. account at any time. Multi-accounting is prohibited and will result in forfeiture of any unpaid winnings.

  • You are responsible for keeping your password (or Apple Sign-In credentials) secure and for all activity on your account.

  • You must provide accurate information at sign-up and keep it current.

  • You may not sell, transfer, or share your account with any other person.

4. The Service

Free$t. displays GPS-located prizes that have been placed by participating retailers inside their physical stores. You may walk into a participating store to claim a prize if you are within the claim radius and the prize is unclaimed. Winnings load to a Free$t. Visa debit card issued by our banking partner (see Section 7).

Free$t. is the platform operator. Free$t. does not itself fund or sponsor every prize; in most cases the participating retailer is the prize sponsor.

5. Prize Mechanics — No Purchase Necessary

NO PURCHASE IS REQUIRED TO USE FREE$T. OR TO BE ELIGIBLE TO WIN ANY PRIZE OFFERED THROUGH THE SERVICE. VOID WHERE PROHIBITED BY LAW.

  • Each prize available through Free$t. is offered as a sweepstakes governed by these Terms and the specific Prize Rules posted in-app for that prize at the time of offer.

  • Odds of winning depend on the number of prizes available, the geographic area, and the number of eligible participants.

  • Prizes have no cash equivalent unless explicitly stated. Prizes are non-transferable.

  • You are solely responsible for all federal, state, and local taxes on prizes you win. Free$t. will issue an IRS Form 1099-MISC if your aggregate winnings in any calendar year meet or exceed the IRS reporting threshold (currently $600).

  • Free$t. reserves the right to cancel, modify, or suspend any promotion for fraud, technical failure, force majeure, or violation of these Terms.

6. Retailer Relationship

Prizes are placed by independent participating retailers, not by Free$t. The retailer is the prize sponsor and is responsible for honoring the prize. Free$t. provides the discovery and claim platform; the retailer provides the prize itself. Free$t. may, in its discretion, assist a winner whose prize is not honored by a retailer, but Free$t. is not obligated to do so unless required by these Terms or by law.

7. The Free$t. Visa Debit Card

  • The Free$t. Visa debit card is issued by our banking partner (the "Issuer") under a separate cardholder agreement provided to you at the time you opt in.

  • Free$t., Inc. is not a bank. The Free$t. Visa card is a product of the Issuer.

  • Card balances are governed by the Issuer's cardholder agreement, including any FDIC pass-through coverage limits and dispute procedures.

8. User Conduct

You agree that you will NOT do any of the following:

  • Use the Service for any unlawful purpose or in any way that violates these Terms.

  • Spoof, falsify, or manipulate your GPS location to claim prizes you are not physically near.

  • Use bots, scrapers, automated scripts, or any non-human means to interact with the Service.

  • Reverse-engineer, decompile, or attempt to derive source code from the Service.

  • Sell, rent, license, transfer, or share your account with any other person.

  • Harass, threaten, defraud, or impersonate any other user, retailer, or member of the Free$t. team.

  • Use the Service in violation of any applicable export, sanctions, or anti-money-laundering law.

Violation of these rules may result in suspension or termination of your account and forfeiture of any unpaid winnings.

9. Device Permissions

Free$t. uses your device's location, camera, microphone, and Bluetooth only with your explicit opt-in. You may revoke any permission at any time in your device Settings. Some features of the Service may not function without the relevant permission.

10. Intellectual Property

The Free$t. name, the Free$t. logo and "F$t." monogram, the "We Live To Give" tagline, and all related marks, designs, and content are the property of Free$t., Inc. or its licensors. You may not copy, modify, distribute, or otherwise use these except as needed to use the Service in the ordinary way.

You retain ownership of content you create (display names, profile information, celebration videos and screenshots you choose to share). By submitting that content you grant Free$t. a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute it within the Service and for Free$t.'s reasonable promotional purposes.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR QUIET ENJOYMENT. FREE$T. DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FREE$T., INC., ITS AFFILIATES, OFFICERS, EMPLOYEES, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

THE TOTAL CUMULATIVE LIABILITY OF FREE$T. TO YOU FOR ANY AND ALL CLAIMS UNDER OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100), OR (B) THE TOTAL CASH VALUE OF PRIZES YOU WON THROUGH THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Free$t., its affiliates, and their respective officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of (a) your use of the Service in violation of these Terms, (b) your conduct toward any retailer or other user, or (c) your violation of any law.

14. Termination

  • You may delete your account at any time from Settings → Account → Delete Account.

  • We may suspend or terminate your account for violation of these Terms, for fraud, or as required by law.

  • Sections that by their nature should survive termination (including Section 10 Intellectual Property, Section 11 Disclaimers, Section 12 Liability, Section 13 Indemnification, Section 15 Arbitration, and Section 16 Governing Law) will survive.

15. Dispute Resolution — Binding Individual Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, except that either party may bring an individual action in small-claims court for any qualifying claim.

YOU AND FREE$T. EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION OR CLASS ARBITRATION.

You may opt out of this arbitration agreement by sending written notice to legal@freestapp.com within thirty (30) days of creating your account. If you opt out, disputes will be resolved in the courts identified in Section 16.

16. Governing Law

These Terms are governed by the laws of the State in which Free$t., Inc. is incorporated, without regard to its conflict-of-laws principles. Subject to Section 15, any dispute that proceeds in court will be brought exclusively in the state or federal courts located in that jurisdiction.

17. Changes to These Terms

We may update these Terms from time to time. The "Last Updated" date at the top will change. We will give at least fourteen (14) days' notice within the app before material changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

18. Miscellaneous

  • Entire agreement: these Terms and the Privacy Policy together constitute the entire agreement between you and Free$t. concerning the Service.

  • Severability: if any provision is held unenforceable, the rest will remain in full effect.

  • No waiver: our failure to enforce any right is not a waiver of that right.

  • Assignment: you may not assign these Terms; we may assign them to an affiliate or in connection with a merger, acquisition, or sale.
